Our terms and conditions

These are the rules for using Crowdhail. The short version: use your own guest list, message only people who expect to hear from you, honour every opt-out, and be honest on your pages. The long version follows.

1. Who we are and what these terms cover

Crowdhail is operated by OKGN AI INC., a company incorporated in British Columbia, Canada ("Crowdhail", "we", "us"). These Terms of Service govern your use of the Crowdhail website, application, and messaging services (together, the "Service").

These terms apply to two kinds of people: "Operators" — account holders who create campaigns and send messages — and "Guests" — people who receive an invitation, visit an event page, RSVP, or interact with a campaign. By creating an account, or by using an event page or replying to a message sent through the Service, you agree to these terms.

2. The Service

Crowdhail lets Operators create an event landing page (a "Hail Page"), invite guests by SMS, collect RSVPs and survey responses, and answer guest questions through an assistant grounded in information the Operator provides. Guests access their event page through a personal link or QR code — no account or login is ever required of Guests.

Some content on the Service — such as draft page copy and answers to guest questions — is generated with the assistance of artificial intelligence based on information the Operator supplies. Operators are responsible for reviewing their pages and campaign content before publishing and sending.

3. Accounts

You must be at least 18 years old and able to form a binding contract to create an Operator account. You are responsible for the accuracy of your account information, for maintaining the confidentiality of your credentials, and for all activity that occurs under your account.

4. Consent and messaging rules (important)

The Service sends text messages on your behalf and on your instruction. You may only send messages to people you have a genuine, documented basis to contact. By importing contacts or sending a campaign, you represent and warrant that:

  • by providing a recipient’s phone number, you represent and warrant that you have that recipient’s prior express consent, permission, or invitation to contact them by text message, or a personal relationship with them (such as invited guests of your own event) that permits the message under applicable law, including Canada’s Anti-Spam Legislation (CASL) and, for United States recipients, the Telephone Consumer Protection Act (TCPA) and state equivalents;
  • you did not purchase, rent, or scrape the contact list;
  • you will honour opt-out requests immediately and will not attempt to re-add or otherwise message someone who has opted out.

The Service enforces certain rules automatically: recipients can reply STOP at any time and will be suppressed from further messages; identifying information about the sender is included in messages; and sends are restricted to reasonable hours in the campaign’s time zone. These automated safeguards do not reduce your own responsibility for lawful messaging.

We may refuse, suspend, or terminate messaging — or your account — if we believe your use is unlawful, deceptive, or harms the deliverability or reputation of the Service for other users.

5. Guest terms

Guest links are personal. If you are a Guest, your event link identifies you to the event host — do not share it. Anything you submit through an event page (an RSVP, a survey answer, a chat message, a note) is shared with the event’s Operator.

Answers provided by the page’s assistant are based on information the event host supplied and may occasionally be incomplete or inaccurate. Questions the assistant cannot answer are passed to the host. For anything important, confirm with your host directly.

You can stop receiving messages at any time by replying STOP to any text from us.

6. Acceptable use

You agree not to use the Service to:

  • send spam, or any message without a lawful basis to contact the recipient;
  • impersonate any person or organization, or create pages that imitate another brand or service;
  • collect passwords, payment card details, or government identifiers through an event page;
  • post or distribute content that is illegal, defamatory, harassing, or infringes the rights of others;
  • probe, disrupt, or circumvent security or rate-limiting features of the Service;
  • resell or white-label the Service without our written agreement.

7. Your content

You retain ownership of the content you submit to the Service — event details, guest lists, page copy, uploaded files, and messages ("Your Content"). You grant us a worldwide, non-exclusive licence to host, store, process, transmit, and display Your Content solely as needed to operate and improve the Service, including processing it through the third-party providers described in our Privacy Policy.

You are responsible for Your Content, including having the rights to use any names, images, and contact details it contains.

8. Our platform

The Service — including its software, design, and branding — is owned by OKGN AI INC. and its licensors. These terms do not grant you any right to use our trademarks or branding, and you may not copy, modify, or reverse-engineer the Service except as permitted by law.

9. Fees

The Service is currently offered without charge during its early-access period. We may introduce paid plans in the future; if we do, we will give existing Operators reasonable advance notice, and continued use of paid features after that notice will require a subscription.

Operators may offer items for sale on their event page ("Shop"). All payments for such items are processed by Stripe on the Operator’s own Stripe account: the sale is between the Guest and the Operator, the Operator is the merchant of record, and refunds, disputes, taxes, and the items themselves are the Operator’s responsibility. Crowdhail never collects or stores card details, and an event page itself never asks for payment information — checkout happens on Stripe’s hosted payment page.

10. Privacy

Our collection and use of personal information is described in our Privacy Policy, which forms part of these terms. In short: Operators are responsible for the guest information they bring to the Service, and we process it on their behalf to run their campaigns.

11. Termination

You may stop using the Service and delete your account at any time. We may suspend or terminate your access if you breach these terms, if required by law, or if we discontinue the Service. Records we are required to keep for compliance purposes — such as consent and opt-out records — survive account deletion, as described in the Privacy Policy.

12. Disclaimers

The Service is provided "as is" and "as available". To the maximum extent permitted by law, we disclaim all warranties, express or implied, including fitness for a particular purpose and non-infringement. We do not warrant that messages will be delivered — SMS delivery depends on telecommunications carriers outside our control — or that AI-generated content will be accurate or complete.

13. Limitation of liability

To the maximum extent permitted by law, OKGN AI INC. will not be liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits, data, or goodwill, arising from your use of the Service. Our total liability for any claim relating to the Service is limited to the greater of (a) the amounts you paid us in the twelve months before the claim and (b) CAD $100.

Nothing in these terms limits liability that cannot be limited under applicable law.

14. Indemnity

If you are an Operator, you will indemnify and hold harmless OKGN AI INC. from claims, damages, and expenses (including reasonable legal fees) arising from Your Content, your guest lists and the consent basis for them, or your breach of these terms — including any claim that a message sent at your instruction violated anti-spam or telemarketing law.

15. Governing law

These terms are governed by the laws of British Columbia and the federal laws of Canada applicable in it. The courts located in British Columbia have exclusive jurisdiction over disputes arising from these terms, and you and we each attorn to their jurisdiction.

16. Changes to these terms

We may update these terms from time to time. If a change is material, we will give Operators notice — by email or in the app — before it takes effect. Your continued use of the Service after a change takes effect constitutes acceptance of the updated terms.
